Can an Executive Committee of the board approve new bylaws prior to submitting them to the board for approval?
The Executive Committee can presumably review and recommend for or against any proposal for Board approval. Unless the bylaws require prior approval, the proposed bylaw changes could be reviewed and approved by the Board without prior review by the Executive Committee. If the corporation has members, the members may be required to approve the changes, depending on what they involve.
